INTERNATIONAL CORPORATIONS

 

Prof. Konrad Osajda, PhD, LLM, MA is a graduate of Faculty of Law and Administration of University of Warsaw and Faculty of Common Law of University of Ottawa where he obtained the Master of Laws degree. He is a holder of Polish post-doctoral law degree (habilitation) and serves as Associate Professor at Warsaw University. He is a member of many prestigious organizations, namely European Law Institute, Asian Institute of International Financial Law (based at Hong Kong University) – honorary fellow, and Committee for Legal Sciences of the Polish Academy of Sciences – scientific secretary. He was awarded numerous scholarships and awards, particularly granted by Max Planck Institute for Comparative and International Private Law in Hamburg (twice), Ministry of Higher Education of Poland (award for an outstanding young scholar; twice), Foundation for Polish Science (twice). Being an author of multiple publications and articles, particularly editor in chief of Great Commentary to Polish Private Law (9 volumes to date), his main fields of interest are private law in comparative perspective, law of succession and commercial (corporate) law. Aleksandra Stepanów is a graduate of the Faculty of Law and Administration of the University of Warsaw as well as Institute of German Studies of Faculty of Modern Languages of the University of Warsaw. She completed German Law School and Italian Law School of the Faculty of Law and Administration of the University of Warsaw. She holds PhD in Literature (specialization German literature) obtained at University of Warsaw.

She is also a Senior Associate in a legal office Urbanek and Partners and an attorney-at-law as well as a member of Warsaw Bar Association (OIRP Warszawa). She specializes in civil law, commercial law, bank law, data protection law and European law and international private law. (German law)

 

 

Robert M. (Bob) Kunczt attended Wheeling Jesuit University and Akron University School of Law. He teaches at the University of the Incarnate Word, School of Professional Studies, San Antonio, Texas.  He has taught Business Law; Strengthening Stakeholder Responsibility; Criminal Law for Criminal Justice; Human Resources and the Law; Human Resource Management; International Organizations; Law in Higher Education; and Legal Issues in Student Affairs.

Bob taught at the University of Warsaw on a Fulbright Grant during the Winter Semester, 2015.  He returned in 2107 for the Summer Semester.  His courses were on the Rule of Law with an emphasis on Legal issues in Business and International Organizations.  He also lectured in the Network on Humanitarian Action program.

In 1996, he provided advice and counsel to the Honorable Mato Tadic, Minister of Justice for the Federation of Bosnia and Herzegovina and was selected by Central Eastern European Law Initiative as a member of the Commission to establish an independent judiciary and to integrate the Bar Associations of The Federation of Bosnia and Herzegovina and Republica Srpska.

He conducted seminars on “Disaster Preparedness;” “Refugee Assistance;”“Human Rights and Democracy” issues for the military of Albania and Cameroon. Also, he presented a seminar on “The Role of the Military in a Democracy”  for senior Mauritania Civilian Defense Ministers and senior military.

Bob retired a Colonel, United States Army in 2000 and served as General Counsel and Director of Human Resources for the University of the Incarnate Word.  (American law)

 

Małgorzata Grudniewska – Wierzchoń is a Spanish lawyer, member of the Barcelona Bar Association (ICAB). Małgorzata pursued her LL.M. in Intellectual Property and the Information Technologies at the ESADE Business & Law School (Universitat Ramon Llull) in Barcelona. Co-author of the project: „Los límites de la explotación de los derechos de autor”. She has a degree in law from the Cardinal Stefan Wyszynski University in Warsaw with an exchange at the Universitat Internacional de Catalunya en Barcelona. She began her career with a Spanish-German law firm specializing in intellectual property, unfair competition, litigation and comparative law (Barcelona). She has experience working as In-house Lawyer, Financial Director, Country Manager and translator with various international companies dealing with business law, data protection, new technologies and intellectual property. Małgorzata also provides legal advice for Polish entities operating in Spain. (Spanish law)

 

 

Artur Kuczmowski has been dedicated to legal, tax and business consulting since the very beginning of his career as a lawyer. From 2007 to 2015 he used to run his own law practice. He is the co-initiator of the international group of boutique law firms – Thompson&Stein, which was founded in 2015. He not only is responsible for the polish branch of the firm but also he coordinates Thompson&Stein in Estonia. Mr Kuczmowski will lead the workshop about Estonian partnerships and give a lecture on international corporations in Estonian law. He will also lead workshop: “Estonian company law – crossing borders | Workshops led by Thompson&Stein  expert and guests from the Embassy of Estonia in Warsaw.”

 

 

 

 

INTERNATIONAL INVESTMENTS

 

Dr hab. Aneta Hryckiewicz, prof. ALK did her Ph.D. in Goethe University of Frankfurt, in Germany. She was also a Visiting Researcher at Wharton Business School in the USA. Currently, she is a Finance Professor at Kozminski University. She has almost 14 years of experience in banking. Since 2015 she seats at the Supervisory Board at PEKAO S.A. Investment Banking and at the Audit Committee.  She has gained a numerous prestigious awards for her research and publications. In addition, Aneta is a lecturer at various excellent universities throughout Europe  with tremendous global experience. She is also a co-founder of Riskometer – applications showing how to manage savings on capital market. She is also an Editor of education blog – Polska Oszczedza – a blog teaching how to manage the personal savings. (Moderator)

 

Dan Cocker is a partner in Allen & Overy’s Global Projects, Energy and Infrastructure Group. He specialises in project financings, covering both finance documents and underlying commercial contracts such as PPP concession agreements, construction and engineering contracts, operation and maintenance agreements, power purchase agreements, fuel supply contracts and vessel charter parties, as well as related regulatory matters. His wider banking experience covers restructurings, real estate finance, asset finance, acquisition finance and general lending. (English law)

 

 

 

 

 

 

Matthias Stauffacher is a partner at Streichenberg Attorneys at Law based in Zurich. He represents clients in transactions, litigation and all kinds of regulatory and administrative law matters, drafting contracts, supporting IT-projects as well as advising clients in the field of commercial and corporate law. During his studies he was a member of ELSA Zurich and ELSA Switzerland and finished his ELSA career as President of ELSA International in 2007/2008. (Swiss law). He will also lead workshop: “Investment in Switzerland or how to establish a company in Switzerland”

The workshop will give an overview of the Swiss legal system and also point out some of the challenges of Switzerland being a non-EU country in the middle of the EU. Furthermore, the workshop will show what challenges exists when a foreign investor wishes to establish a Company in Switzerland with practical examples.

 

 

Rafał Kluziak is a Polish-qualified advocate and senior associate in Corporate / M&A Department at CMS. His areas of specializations are M&A, public takeovers and capital markets law. He assists clients, including private equity and listed companies, in public takeovers and M&A transactions, public offerings of securities and securities trading issues.
Earlier Kluziak worked for the Polish Financial Supervision Authority, where he was responsible for supervision and licensing of investment firms.
He took part in the implementation of EU capital markets law, particularly MiFID. Rafał Kluziak is an alumnus of Academy of Capital Markets Leaders active within the community. Kluziak obtained his degree on University of Warsaw and as en exchange student studied at Utrecht University, where he followed international corporate and commercial law courses.
He will give a lecture as a representative of Polish jurisdiction in the panel about international investments.

 

J J (Jawahar Jyoti) Singh, entrepreneur, social activist and philanthropist staying in Poland since 1989. Shareholder and CEO of second largest corporate travel management company Weco Travel with its offices in Poland/ Czech Republic/ Hungary and Romania which was established in Poland in 1992 with four staff including J J Singh and today it is one of the leaders with 270 staff and celebrated 25th anniversary  in 2017.

J J Singh is the founder member and the President of Indo Polish Chamber of Commerce & Industry formed in 2006 with the support of Indian entrepreneur and corporate companies  is having above 103 members which includes Polish and Indian business corporation.

He his acquainted with travel trade since 1986 working in agencies and airlines  and holds MBA degree from LBS/HEC.

He will give a lecture as a representative of Indian jurisdiction in the panel about international investments.

 

WORKSHOPS

 

Aleksander Błahy is a Polish lawyer, member of OIRP in Szczecin and a founding member of Polish Maritime Law Association. He gained his international experience during 17 years in the leading Polish boutique law firm focused on international shipping matters. Aleksander has acquired practical knowledge of many shipping matters in particular shipbuilding, sale and purchase, registration, shipfinancing, P&I claims and various aspects of maritime labour law, but he particularly focused on planning, building and managing international corporate and commercial structures. His experience led him to advise the biggest Polish shipowners and to represent Polish Shipowners’ Association as an expert in Polish parliament. He will lead workshop:  “International corporate structures – is it only a challenge or a great opportunity?”

 

 

Melvin Tjon Akon is a lawyer and economist who uses data science to assist financial institutions and corporates with the implementation of their financial strategies. Since 2015, he works as an associate at Bonn Steichen & Partners, a major Luxembourg law firm, where he specializes in capital market transactions, structured finance and financial services. Melvin studied Finance (Rotterdam School of Management) and Law & Economics (Universities of Amsterdam, Chicago). He was admitted to the Bar of New York State in 2016. Prior to practicing law, Melvin worked as a business analyst for several consumer goods companies. He also worked as a research assistant for several multinational law firms, the Trade and Industry Tribunal of the Netherlands and the Dutch Competition authority.
Due to his multidisciplinary background, Melvin approaches finance matters from two complementary angles: legal analysis and social science. Through his participation in hackathons and tech meetups, he acquired basic programming skills, enabling him to use data science techniques to uncover patterns and relations. He has published articles in several law reviews and magazines, mostly on the impact of cognitive technologies on finance. He will lead workshop: Luxembourg as Europe’s top investment fund and securitization center: a law and economics perspective.”

 

Dr. Jakub Zagrajek is an advocate admitted to practice in Poland and a senior associate in the corporate department of the Warsaw office of Weil.

In 2010 he graduated from the Faculty of Law and Administration of the University of Warsaw, as well as in Finance and Accounting at the Warsaw School of Economics. He completed, with distinction and as the best student in his year, a course in US law at the Center for American Law Studies co-organised by the University of Warsaw and the University of Florida Levin College of Law, and, also with distinction, a course in German and European law at the Center for German and European Law Studies of the University of Warsaw. In 2015 he obtained a PhD in company law from Akademia Leona Kozminskiego in Warsaw. Prior to joining Weil in 2009, he interned at the legal department of the headquarters of a major German bank in Frankfurt am Main. He is a CFA® charterholder.

A specialist in commercial law and capital markets regulations, he has participated in M&A transactions in Poland, IPOs and SPOs, as well as public offerings of debt securities listed in the Polish and foreign regulated markets. Jakub also advises WSE-listed public companies on issues involving trading in financial instruments and issuer disclosure obligations on a regular basis.

Jakub is fluent in English and German and has a good working knowledge of French.

He will lead workshop: “Dual listing and foreign issuers listed on the Warsaw Stock Exchange: regulatory challenges.” 

 

 

Bartłomiej Woźniak, an attorney at the GESSEL Law Office, member of the Mergers and Acquisitions team will lead the workshop titled „The role of a lawyer in private equity fund investments”. The workshop will take place on February 17th at 2.00am in GESSEL office, ul. Sienna 39.

As a part of the merger and acquisition practice in the GESSEL law firm Woźniak cooperated with private equity and venture capital funds, acquisitions, especially in the buy-outs form and exit transactions carried out by these entities. In his practice he also deals with leveraged buy-out transactions and contracts related to obtaining debt financing. His workshop will surely be very interesting!

 

 

 

Aleksandra Stępniewska is an Adwokat and partner at the law firm of Wardyński & Partners (W&P) in Warsaw, Poland. As a member of the W&P business crime practice, Ms. Stępniewska advises and represents clients mainly in criminal cases, in cases related to white-collar crime, cross-border crime and cybercrime. She acts as a defence lawyer and represents victims in criminal cases.

Aleksandra specializes in the field of implementation and monitoring of compliance procedures and evaluation of the risk of criminal liability in connection with business decisions. She leads training courses on compliance procedures, risks of company director criminal liability and the right to defence.

Ms. Stępniewska also handles W&P services provided to French-speaking clients through the French Desk.

Ms. Stępniewska serves as the local contact for the Paris-Warsaw Committee of the Paris Bar (Barreau de Paris).

The workshop Aleksandra will lead is named “Corporate criminal liability in France – the risks and duties facing corporations and their managers under French criminal law and anti-corruption policy”. It will be held on Saturday, February 17th, from 11 a.m. to 1 p.m., at the Wardyński & Partners office – Aleje Ujazdowskie 10, Warsaw.

The workshop will be based on a case study involving a Polish company, the parent of a French subsidiary, prosecuted in France. The case study will be the departure point for a presentation of the rules of corporate criminal liability in France, defence opportunities and procedural issues, including the international context of criminal investigations. The workshop will include a discussion of the rules on liability of company directors and a recently introduced obligation to implement internal anti-corruption compliance programs.

 

Dr. Karolina Tetłak is an assistant professor in tax law at Warsaw University, Poland and academic associate of the Centre for International Sports Law at Staffordshire University, UK and Thompson Rivers University, Canada. An LLM graduate of Harvard Law School, she is an expert in sports fiscal law, taxation of athletes and tax treatment of sports events. She teaches international tax law at numerous universities worldwide and has broad practical expertise on income tax, international taxation, VAT and tax procedure.  She will lead workshop: “International Tax Settlements”.
